Main Biography

Warren Nowlin is a member in the Washington, D.C. office of Somertons, PLLC, a boutique focusing on corporate, securities, international transactions and finance. Mr. Nowlin provides general representation to corporations, financial institutions, emerging growth companies and entrepreneurs in a broad range of transactions and strategic planning matters. His work includes business formations, debt and equity funding, mergers and acquisitions, corporate governance and risk management.

 

He regularly represents emerging growth companies in organizational planning, capital funding, acquisitions and sale of the business. He works with overseas growth companies seeking access to U.S. markets and investment capital. 

Outside the U.S. Mr. Nowlin has been involved in privatizations, joint ventures, strategic alliances and other specialized projects. His role ranges from negotiating organizational and financing documents, to working with investment banks, multilateral financing institutions and governmental agencies. He coordinates procurements, secures funding and negotiates concessions. Mr. Nowlin’s work has included the privatization of state-owned enterprises and project financings, particularly in the energy and minerals sectors. He is often charged with assembling and leading teams of professionals at different firms and within different fields of expertise to execute complex transactions or to resolve significant investment disputes.

 

Mr. Nowlin's activities cut across different legal disciplines, particularly in the investment industry. He is experienced in the formulation of domestic and off-shore investment funds and in the regulations governing pension funds and institutional investors. He has represented fund sponsors, issuers, portfolio companies, both institutional and private investors, and large family offices.

Mr. Nowlin has worked with investment managers and advisers on the formulation and implementation of investment programs and on compliance matters. He has a recognized proficiency in the laws governing fiduciaries and has testified as an expert to the U.S. Congress on matters under congressional investigation and inquiry.
