Main Biography

 

Neil Carr is a member of Somertons, PLLC, a boutique focusing on corporate, securities, capital markets, mergers and acquisitions, international transactions, and finance. Neil specializes in corporate, corporate finance, capital markets transactions, and mergers and acquisitions.

 

Neil advises in connection with public and private offerings of securities and has represented companies in a broad range of industries on such matters. He has also represented companies in public and private merger transactions.

 

Neil advises investment banks on capital markets transactions, including securities offerings under Rule 144A and offshore securities offerings under Regulation S.

 

Neil has extensive experience advising public companies listed on national securities exchanges or traded in the over the counter markets on SEC reporting and related compliance and disclosure matters as well as Nasdaq and NYSE listing requirements.

He advises boards of directors of public companies as well as their audit, compensation, nomination, and corporate governance committees on fiduciary standards, regulatory, disclosure and compliance issues.

Neil R.E. Carr

Neil advises hedge funds, private equity funds, private market investment funds, and their investment advisors in connection with fund and management company structuring, formation, operation, and related securities law, regulatory, and compliance matters.

 

Neil represents the several foreign companies doing business in the United States on corporate and business matters. He has been a speaker in the United Kingdom at events sponsored by the U.K.’s Department of Trade and Industry on doing business in the United States.

Neil received a law degree with honors from the University of Keele, an LL.M from the London School of Economics, and a law degree from George Washington University. Neil is a member of the District of Columbia Bar and a Solicitor of the Supreme Court of England and Wales.

 

Neil is AV Preeminent rated by Martindale-Hubbell and is listed in Martindale-Hubbell's Bar Register of Preeminent Lawyers. He has been in the private practice of law in Washington, D.C., for more than 30 years.
