Neil R.E. Carr is the managing member of Somertons. Neil specializes in corporate, corporate securities, and capital markets transactions. He represents domestic issuers and investment banks in private placements, initial and secondary domestic and offshore offerings, private securities transactions and mergers and acquisitions.
He has represented private investment funds and their investment advisers and managers related to formation and regulation under United States’ securities laws.
Neil has acted as issuer’s and underwriter’s counsel on initial public offerings and follow-on public offerings, as well as private placements for companies in a number of different industries including manufacturing, telecom, distribution, drug development and manufacturing, internet services, and high-tech services’ companies. He has also represented companies in public merger transactions in connection with securities and corporate law issues.
Neil advises public companies on SEC reporting under the Securities Exchange Act and related compliance and disclosure matters. Also, he advises boards of directors, as well as their audit, compensation, nomination, and corporate governance committees on fiduciary standards, regulatory, disclosure and compliance issues.

Neil represents the United States’ subsidiaries of several foreign privately-held companies doing business in the United States on corporate and business matters. He has been a speaker in the United Kingdom at events sponsored by the U.K.’s Department of Trade and Industry on doing business in the United States.
Neil received a law degree with honors from the University of Keele, in England, an LL.M from the London School of Economics, and a law degree from George Washington University. Neil is a member of the District of Columbia Bar and a Solicitor of the Supreme Court of England and Wales.
