Kathleen L. Cerveny is Of Council to Somertons. Kathleen focuses on sophisticated corporate finance and business transactions.
Kathleen has served as lead counsel in hundreds of private offerings and initial public offerings (IPOs), registered secondary and follow-on offerings of equity and debt securities by operating companies and Special Purpose Acquisition Companies (SPACs). Her experience includes representing issuers of securities or broker-dealers acting as underwriters or placement agents in these transactions.
Kathleen regularly advises public companies on periodic reporting under Federal securities laws. She counsels corporations, boards of directors, and their audit, nominating and compensation committees, as well as management on corporate governance matters, ongoing SEC, stock exchange and FINRA compliance.
Kathleen’s corporate transactional experience includes mergers (including SPAC M&A transactions), acquisitions and dispositions of public and private companies, venture capital financings, strategic alliances and joint ventures.
In addition to experience with multiple SPAC proxy solicitations, Kathleen has been integrally involved advising SPACs conducting tender offers in connection with their acquisition transactions, including the first third generation SPAC to do so.
Kathleen graduated cum laude from Western Michigan University with a BS in Economics and a minor in Mathematics and a JD degree from Notre Dame Law School and was Managing Editor of the Notre Dame Law Review. Kathleen is admitted to practice in the District of Columbia, Commonwealth of Virginia, and State of Michigan.
